These Terms & Conditions (“Terms”) form a legally binding agreement between you and i3RL. By accessing or using our website, submitting an “Estimate Project” request, applying for a role, or otherwise interacting with our online content (collectively, the “Services”), you confirm that you have read, understood, and agree to these Terms.

If you do not agree, do not use the Services.

1) Who may use the Services

You must be at least the age of legal capacity in your jurisdiction and authorized to agree to these Terms on behalf of yourself or the entity you represent. If you use the Services for a business, you represent that you have authority to bind that business to these Terms.

2) Changes to these Terms and the Services

We may update these Terms and/or modify, suspend, or discontinue any part of the Services at any time. Changes take effect when posted on this page (see “Effective date”). Your continued use after changes means you accept the updated Terms.

3) Accounts and communications

You may need to provide accurate, current, and complete information (e.g., via contact or estimate forms). You are responsible for all activity under your submissions and for keeping your contact details up to date. By contacting us, you consent to receive service-related communications via the details you provide.

4) Estimates, proposals, and statements of work

  • Any cost estimates, timelines, or proposals provided via the “Estimate Project” form or otherwise are non-binding and for discussion only.

  • A binding commitment arises only when i3RL and you execute a written agreement or statement of work expressly incorporating commercial terms.

  • We may withdraw or revise estimates at any time before a binding agreement is signed.

5) Intellectual property

  • The Services and all materials on the website, including text, images, logos, graphics, videos, code, and compilations (the “Content”), are owned by or licensed to i3RL and are protected by copyright, trademark, and other applicable laws.

  • We grant you a limited, non-exclusive, revocable licence to access and view the website for personal or internal business use only.

  • You must not copy, modify, adapt, translate, create derivative works, distribute, sell, lease, publicly display, or otherwise exploit any Content without our prior written permission.

  • All marks, names, and logos used on the website are trademarks or trade names of i3RL or their respective owners. No rights are granted by implication or otherwise.

6) User content & your warranties

If you upload, submit, or share information (e.g., briefs, files, CVs, comments) (“User Content”):

  • You retain ownership of your User Content, but grant i3RL a worldwide, non-exclusive, royalty-free licence to host, use, reproduce, and process it solely to operate the Services and respond to your requests.

  • You warrant that you have all necessary rights to your User Content and that it does not infringe any third-party rights, contain unlawful, defamatory, obscene, hateful, harassing, or otherwise objectionable material, or include personal data you are not entitled to share.

  • Do not upload malicious code or attempt to circumvent security.

We may remove User Content that, in our reasonable opinion, violates these Terms or applicable law.

7) Prohibited uses

You agree not to:

  • Use the Services for any unlawful purpose or in breach of applicable laws/regulations;

  • Copy, scrape, crawl, or index the website (including via automated means) except for standard search-engine crawling;

  • Attempt to gain unauthorized access to any systems or data;

  • Misrepresent your identity or affiliation, impersonate i3RL, or conduct unauthorized promotions or contests;

  • Interfere with or disrupt the operation or security of the Services.

8) Privacy

9) Third-party services & links

The website may link to third-party sites or embed third-party content/tools (e.g., analytics, video, maps). Those are governed by the third party’s terms and privacy notices. We are not responsible for third-party content or practices.

10) Confidentiality (business communications)

If, during discussions, either party discloses non-public information identified as confidential (or which should reasonably be understood as confidential), the receiving party will use it only for the intended purpose and protect it with reasonable care. This section does not limit obligations under any separate NDA between us.

11) Disclaimers

  • The website, Content, and Services are provided “as is” and “as available”.

  • To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted, secure, or error-free.

  • Materials on the Insights section are for general information only and do not constitute professional advice. You should obtain appropriate advice before acting on any information.

12) Limitation of liability

To the fullest extent permitted by law:

  • i3RL, its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill; or business interruption arising out of or related to the Services or these Terms.

  • Our total aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the greater of AED 1, 000 or the amount you paid to i3RL for the specific paid Service giving rise to the claim (if any).
     Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13) Indemnity

You agree to defend, indemnify, and hold harmless i3RL and its personnel from and against any claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your: (a) use of the Services; (b) User Content; (c) breach of these Terms; or (d) violation of any law or third-party right.

14) Suspension and termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms, posed a security or legal risk, or as required by law or a competent authority. We will not be liable to you or any third party for such suspension or termination. Sections that by their nature should survive (e.g., IP, disclaimers, limitations, indemnity, governing law) will continue to apply.

15) Force majeure

We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, internet or utility failures, or governmental actions.

16) Governing law & jurisdiction

These Terms are governed by the laws of the United Arab Emirates and, to the extent applicable, the local laws of the Emirate of [Dubai/Abu Dhabi/…]. The courts of [Dubai (non-DIFC) / Abu Dhabi] shall have exclusive jurisdiction.
 If you are established in a financial free zone (e.g., DIFC or ADGM), you may replace the foregoing with the relevant free-zone law and courts.

We may provide notices to you by posting on the website or sending to the email you provided.

18) General

  • Entire agreement: These Terms (and any additional terms expressly incorporated by reference, such as a signed statement of work) constitute the entire agreement between you and i3RL regarding the Services.

  • No waiver: Failure to enforce any provision is not a waiver.

  • Severability: If any provision is unenforceable, the remainder remains in effect.

  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

  • Language: We provide these Terms in English; translations (if any) are for convenience only.
